Terms of Use

Effective as of 14 August 2026

Welcome to the Bioshroom Terms of Use. These Terms of Use govern your access to and use of the Bioshroom website and the services, information and functionality made available through it.

Definitions

  • Bioshroom, Company, we, us and our refer to Bioshroom (Pty) Ltd.
  • Site refers to the Bioshroom website accessible at https://bioshroom.co.za and any related webpages operated by Bioshroom.
  • Service refers to the information, resources, communications and other services or functionality made available through the Site.
  • You and your refer to any person who accesses or uses the Site or Service.

Please review these Terms carefully. By accessing or using the Site or Service, you acknowledge that you have read, understood and agree to be bound by these Terms of Use. If you do not agree to these Terms, you should not use the Site or Service.

1. Use of the Site

The Bioshroom Site provides information about Bioshroom, our functional mushroom products, our production and quality processes, scientific and educational resources, and related products and services.

The Site may also allow users to:

  • contact Bioshroom;
  • submit enquiries;
  • request information about our products;
  • subscribe to newsletters or updates;
  • request Certificates of Analysis or other product information;
  • enquire about commercial, wholesale, export or white-label opportunities; and
  • access other services or features we may make available from time to time.

We may modify, suspend, discontinue or restrict any part of the Site or Service at any time.

2. Product and Health Information

Information published on the Site relating to mushrooms, nutrition, wellness, health, scientific research or the potential properties of functional mushrooms is provided for general informational and educational purposes only. Nothing on the Site is intended to constitute medical advice, diagnosis or treatment.

The information on the Site should not be used as a substitute for advice from an appropriately qualified healthcare professional. You should consult an appropriate healthcare professional before using a product where you have questions regarding your health, existing medical conditions, allergies, pregnancy, medication or other health-related circumstances. Individual responses to foods, ingredients and wellness products may vary.

You are responsible for following all instructions, warnings and information appearing on the packaging or labelling of any Bioshroom product.

3. Product Information

Bioshroom makes reasonable efforts to ensure that information displayed on the Site is accurate and current. However, product specifications, descriptions, packaging, availability, research, testing information and other content may change from time to time.

Images appearing on the Site are provided for illustrative purposes and the appearance of products or packaging may differ from what is displayed. Where applicable, information accompanying the physical product, including its packaging and labelling, should be read together with the information available on the Site.

4. Privacy Policy

Bioshroom respects the privacy of users of the Site. Our Privacy Policy explains how we collect, process, store and use personal information. By accessing or using the Site or submitting information through the Site, you acknowledge that your personal information may be processed in accordance with our Privacy Policy and applicable South African law.

5. User Conduct

Your permission to use the Site is conditional upon your compliance with these Terms. You agree that you will not:

  • use the Site for an unlawful purpose;
  • use the Site in a manner that violates applicable laws or regulations;
  • attempt to gain unauthorised access to the Site, its systems, servers or networks;
  • interfere with or attempt to interfere with the proper functioning of the Site;
  • introduce malware, malicious code, viruses or other harmful material;
  • attempt to circumvent security measures used by the Site;
  • use automated tools to scrape, extract, harvest or reproduce Site content without our permission;
  • collect or harvest personal information relating to other users;
  • impersonate another person or provide deliberately false or misleading information;
  • use the Site to harass, threaten, abuse or harm another person;
  • reproduce, distribute or commercially exploit Site content without permission where such permission is required; or
  • use the Site in any manner that may impose an unreasonable or disproportionately large load on our infrastructure.

Bioshroom reserves the right to restrict or terminate access to the Site where we reasonably believe these Terms have been violated.

6. Submissions and User Content

Where the Site allows you to provide information, comments, enquiries, documents, reviews, feedback or other material, such information is referred to as “User Content.” You are responsible for User Content that you submit through the Site.

You agree not to submit content that:

  • is unlawful;
  • is deliberately false or misleading;
  • infringes another person's intellectual property rights;
  • infringes another person's privacy or other legal rights;
  • contains malicious software or harmful code;
  • is defamatory, threatening, abusive or discriminatory; or
  • is otherwise inappropriate for the purpose for which the relevant Site feature is provided.

You retain ownership of intellectual property rights that you may have in your User Content. By submitting User Content where necessary for us to provide the relevant Service, you grant Bioshroom a non-exclusive licence to use, reproduce and process that content to the extent reasonably required to provide the Service, respond to your enquiry, administer our relationship with you or operate the Site.

We may remove or refuse to process User Content where we reasonably believe that it violates these Terms or applicable law.

7. Feedback

If you voluntarily provide suggestions, ideas or feedback concerning Bioshroom, our products or our services, we may use that feedback for purposes such as improving our products, services, operations or Site. Nothing in this section requires you to disclose confidential information to Bioshroom.

8. Online Content Disclaimer

Bioshroom endeavours to provide reliable and useful information. However, scientific knowledge, research and industry standards may develop over time. Except where expressly required by applicable law, Bioshroom does not guarantee that all information available through the Site will always be complete, current or suitable for every person's individual circumstances.

Articles, studies, opinions or other material attributed to third parties remain the responsibility of their respective authors or publishers. Reference to third-party research does not necessarily constitute an endorsement of every conclusion or opinion expressed in that research. You remain responsible for decisions made based on information obtained through the Site.

9. Third-Party Links and Material

The Site may contain links to websites, research, publications, applications or other content operated or provided by third parties. These links are provided for convenience or informational purposes. Bioshroom does not control third-party websites and is not responsible for their content, security, availability, accuracy, privacy practices, terms and conditions, or products and services. The inclusion of a link does not necessarily constitute an endorsement by Bioshroom.

If you access a third-party website, you do so subject to that third party's applicable terms and policies.

10. Intellectual Property

Unless otherwise indicated, the Site and its content are owned by or licensed to Bioshroom. This includes, where applicable, text, graphics, logos, photographs, illustrations, videos, product information, documents, website design, trademarks, trade names, software, and other content appearing on the Site.

You may access Site content for your personal or legitimate business information purposes. You may not reproduce, distribute, modify, publish, commercially exploit or create derivative works from our content without our prior written permission, except where permitted by law.

Third-party trademarks, research, photographs, publications and other intellectual property remain the property of their respective owners. All rights not expressly granted under these Terms are reserved.

11. Bioshroom Trademarks and Branding

The Bioshroom name, logos, product branding and associated brand elements may constitute trademarks or other protected intellectual property. Nothing in these Terms grants you a right to use Bioshroom branding in a manner that suggests sponsorship, endorsement, affiliation or partnership without our prior written approval.

12. Electronic Communications

By contacting Bioshroom electronically or submitting your contact information through the Site, you consent to receiving communications from us electronically where appropriate. Electronic communications may include responses to enquiries, information requested by you, operational communications, product information, documents, notices and other communications relating to your interaction with Bioshroom. Electronic communications will satisfy any requirement that communications be in writing to the extent permitted by applicable law.

13. Marketing Communications

Where you have subscribed to our newsletter or otherwise consented to receive marketing communications, Bioshroom may send you information concerning products, company developments, scientific or educational content, promotions, events, industry developments and other Bioshroom news.

You may unsubscribe from marketing communications by using the unsubscribe mechanism contained in the relevant communication or by contacting us. Unsubscribing from marketing communications will not necessarily prevent us from sending communications that are necessary to respond to an enquiry or administer an existing relationship with you.

14. Security

We take reasonable measures to protect the Site and information processed through it. However, internet-based services cannot be guaranteed to be completely secure. You are responsible for using appropriate security precautions when accessing the Site, including protecting your devices and internet connection.

You must not attempt to bypass, disable, test or interfere with the security of the Site without our prior written authorisation.

15. Availability of the Site

We aim to keep the Site reasonably available but do not guarantee uninterrupted access. The Site may occasionally be unavailable due to maintenance, upgrades, technical problems, hosting or telecommunications failures, security incidents, events outside our reasonable control, or other operational requirements.

We may change, suspend or discontinue parts of the Site without notice where reasonably necessary.

16. Warranty Disclaimer

To the maximum extent permitted by applicable law, the Site and Service are provided on an “as is” and “as available” basis. Bioshroom makes no warranty that access to the Site will always be uninterrupted, the Site will be free from errors, the Site will be completely free from harmful components, all information will always be current or complete, or the Site will meet every user's individual requirements.

Nothing in these Terms excludes or limits any warranty, right or remedy that cannot lawfully be excluded under applicable South African law.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Bioshroom and its directors, employees, agents, contractors, affiliates and licensors will not be liable for indirect, incidental, special or consequential loss arising from your use of, or inability to use, the Site.

This may include loss resulting from:

  • interruption or unavailability of the Site;
  • reliance on information available through the Site;
  • third-party websites or content;
  • unauthorised access caused by circumstances outside our reasonable control; or
  • use of the Site contrary to these Terms.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law. Nothing in these Terms limits any non-waivable rights you may have under South African law.

18. Indemnity

To the extent permitted by applicable law, you agree to indemnify Bioshroom against claims, losses, liabilities or expenses arising directly from:

  • your unlawful use of the Site;
  • your material breach of these Terms;
  • your infringement of a third party's intellectual property or other legal rights; or
  • User Content submitted by you in violation of these Terms.

This provision does not apply where a claim results from Bioshroom's own unlawful conduct or where such an indemnity would not be permitted by law.

Ordinary communications submitted through the Site, email, social media or other general communication channels will not necessarily constitute formal legal notice to Bioshroom where a specific form of notice is required by law or contract. Formal legal notices should be directed to Bioshroom through the appropriate legally recognised channel.

Bioshroom may amend these Terms of Use from time to time. Where we make changes, the updated Terms will be published on the Site and the effective date at the top of this document will be updated. Where appropriate, we may provide additional notice of material changes.

Your continued use of the Site after updated Terms become effective constitutes acceptance of those Terms, subject to any rights you may have under applicable law. You should therefore review these Terms periodically.

21. Termination or Restriction of Access

We may restrict or terminate your access to all or part of the Site where you materially breach these Terms, your use presents a security risk, your activities may expose Bioshroom or another party to legal liability, we are required to do so by law, or the relevant Service is discontinued. Provisions which by their nature are intended to survive termination will continue to apply.

22. Severability

If any provision of these Terms is found by a court or other competent authority to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible. The remaining provisions will continue in full force and effect.

23. No Waiver

If Bioshroom does not immediately enforce a provision of these Terms, this does not constitute a waiver of our right to enforce that provision later. Any waiver must be expressly provided by Bioshroom.

24. Assignment

Bioshroom may assign or transfer its rights and obligations under these Terms as part of a legitimate restructuring, sale, merger, transfer of business or similar transaction, subject to applicable law. You may not assign your rights or obligations under these Terms without our prior written consent where such consent is legally required.

25. Governing Law

These Terms of Use and your use of the Site are governed by the laws of the Republic of South Africa. Any dispute relating to these Terms or your use of the Site will be dealt with in accordance with applicable South African law and the jurisdiction of the appropriate South African courts, subject to any consumer or other rights that apply by law.

26. Entire Agreement

These Terms of Use, together with the Bioshroom Privacy Policy and any additional terms expressly applicable to a particular product, transaction or Service, constitute the agreement governing your use of the Site. If additional terms apply to a particular Service or transaction, those additional terms will apply together with these Terms.
